Terms of Service

Introduction

Trainety is operated by Qenovia LLC. Trainety provides an AI project marketplace where Publishers can post AI-related projects and Providers can discover opportunities, manage profiles, use Signals, and communicate through platform messages.

For these Terms of Service, "Trainety", "we", "us", and "our" refer to the Trainety service operated by Qenovia LLC. "User", "you", and "your" refer to visitors, account holders, Providers, Publishers, and other people who access or use Trainety.

These terms apply to your use of Trainety, including the website, accounts, marketplace features, project listings, profiles, messages, payments, promotion features, Signals, Priority Credits, support flows, and related services.

Eligibility

You may use Trainety only if you can legally enter into a binding agreement and are permitted to use the service under applicable law.

Trainety is intended for business and professional use. You must not use Trainety if you are under the minimum age required by applicable law or any additional eligibility requirement shown by Trainety.

If you use Trainety on behalf of an organization, you represent that you have authority to accept these terms on behalf of that organization and to use Trainety for that organization.

Accounts

You may need an account to access certain Trainety features. You are responsible for providing accurate information, maintaining the confidentiality of your login credentials, and all activity under your account.

You agree not to create accounts using false, misleading, unauthorized, or unlawful information. You also agree not to transfer, sell, rent, or share account access in a way that violates these terms or creates security risks.

Trainety may use account status, role, activity, payment records, reports, and security signals to manage access to features and protect the platform.

Notify Trainety through the in-platform support flow if you believe your account has been compromised.

Roles on Trainety

Trainety supports Provider and Publisher experiences. Some users may use both roles.

Provider terms

As a Provider, you are responsible for the accuracy of your profile, expertise tags, organization description, messages, files, and any information you provide to Publishers.

You agree not to misrepresent your organization, capabilities, location, identity, qualifications, portfolio, experience, pricing, availability, or relationship with any third party.

Using Signals to contact a Publisher does not guarantee that the Publisher will reply, review your message, select you, enter into a contract, or complete any transaction.

Providers should evaluate projects independently before entering any agreement outside Trainety or through any Trainety-supported process.

Publisher terms

As a Publisher, you are responsible for the accuracy of project information, project requirements, budget information, category, industry, location, organization size requirements, project details, promotion settings, and messages.

You agree not to publish projects that are false, misleading, unlawful, discriminatory, abusive, fraudulent, spam-like, infringing, or designed to collect information without a legitimate business purpose.

Publishing a project does not guarantee views, clicks, contacts, messages, qualified Providers, proposals, transactions, or successful cooperation.

Trainety may require a payment method before allowing certain Publisher actions, including publishing or promoting projects, subject to platform rules.

Projects and marketplace content

Projects, profiles, messages, tags, descriptions, reports, feedback, files, and other content submitted by users are user content.

Trainety may display project information to Providers and may display visible Provider profiles to Publishers. Marketplace visibility depends on user settings, role, project status, promotion level, account status, platform rules, and technical operation.

Trainety may review, restrict, hide, remove, or refuse content when it may violate these terms, applicable law, platform rules, payment requirements, safety requirements, or marketplace integrity standards.

Trainety does not guarantee the accuracy, quality, legality, availability, or suitability of projects, profiles, Providers, Publishers, messages, files, or user-submitted content.

Signals

Signals are used by Providers to open or strengthen contact with Publishers. Signals are designed to show intent and help organize project-related communication.

A Provider may need to use at least 1 Signal to open initial contact for a project, unless the contact has already been opened or another platform rule applies.

Signals may affect how Provider conversations are ranked or displayed to Publishers for a specific project. Signals do not guarantee replies, selection, transactions, or successful cooperation.

Trainety may grant initial Signals, sell Signals, deduct Signals, return Signals, adjust Signals, or restrict Signals according to platform rules, payment status, fraud prevention, technical errors, or abuse prevention needs.

Signals are a platform feature and may not represent cash, stored value, legal tender, or a financial instrument. Signals may be subject to additional rules shown at purchase or use.

Priority Credits and promotion

Publishers may use promotion options such as Standard, Subscription, and Priority, where available.

Promotion may affect visibility, but it does not guarantee views, clicks, contacts, messages, qualified Providers, transactions, or successful cooperation.

Trainety may adjust, restrict, refund, expire, or remove promotion benefits where necessary to address payment failures, chargebacks, abuse, technical errors, policy violations, or platform integrity concerns.

Payments, billing, and taxes

Certain Trainety features may require payment, including Signals purchases, Priority Credits purchases, Subscription promotion, Publisher contact features, or other paid features introduced by Trainety.

Prices, packages, taxes, renewal terms, and payment details are shown before purchase. By completing a purchase, you authorize Trainety or its payment service provider to charge the selected payment method for the applicable amount.

Payments may be processed by third-party payment service providers. These providers may handle payment method details, billing information, payment status, and related payment processing according to their own terms and privacy notices.

You are responsible for applicable taxes, fees, and charges related to your use of paid features, unless otherwise stated at checkout.

Messages and files

Trainety Messages allow Providers and Publishers to communicate after a valid contact flow. Messages may be associated with projects, started-by-you groups, shortlist status, labels, hidden conversation state, unread state, and other product features.

You are responsible for the messages and files you send. You agree not to send unlawful, abusive, misleading, infringing, harmful, spam-like, malware-containing, or unauthorized content.

Trainety may restrict file types, file sizes, upload frequency, message frequency, or messaging access to protect the platform and users.

Trainety may review messages, files, metadata, and reports when necessary for support, safety, moderation, abuse prevention, legal compliance, dispute handling, or platform integrity.

Reports, moderation, and restrictions

Users may report projects, messages, accounts, or content that may violate these terms or platform rules.

Trainety may review reports and may take action such as removing content, restricting visibility, limiting features, suspending access, restricting accounts, canceling future subscription renewal, preventing publishing, preventing messaging, or preserving records for safety, support, legal, billing, dispute, or operational reasons.

A restricted account may have limited access to Trainety features. Restricted users may still access allowed support and policy pages, including About, Help & Support, Privacy Policy, Feedback, Terms of Service, For publishers, For providers, and Log out.

If your account is restricted, you may submit an appeal through the Help & Support page. Submitting an appeal does not guarantee that access will be restored.

Prohibited conduct

You agree not to use Trainety to:

• Violate any applicable law or regulation
• Misrepresent your identity, organization, qualifications, project, payment status, or relationship with another person or entity
• Post false, misleading, fraudulent, discriminatory, abusive, or unlawful projects or profiles
• Harass, threaten, abuse, exploit, or harm other users
• Send spam, phishing attempts, malware, scams, or deceptive messages
• Upload viruses, malicious code, executable files, or harmful content
• Scrape, crawl, harvest, or extract data without authorization
• Reverse engineer, interfere with, overload, disrupt, or bypass Trainety systems
• Attempt to access accounts, data, systems, API routes, or admin functions without authorization
• Circumvent payment flows, Signals requirements, Priority Credits rules, promotion rules, or platform restrictions
• Use Trainety to collect sensitive personal information without proper authorization
• Infringe intellectual property, privacy, publicity, or other rights
• Sell, transfer, rent, or misuse account access
• Use automation, bots, or scripts in a way that harms Trainety or other users
• Bypass restrictions after an account or project has been limited, suspended, or removed

User content and license

You retain ownership of content you submit to Trainety, subject to these terms and any rights held by third parties.

By submitting content to Trainety, you grant Trainety a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, process, transmit, analyze, and use that content as necessary to operate, secure, improve, moderate, and provide Trainety and related features.

This license allows Trainety to display project content to Providers, display visible Provider profiles to Publishers, deliver messages, process reports, operate search and ranking, provide support, prevent abuse, maintain records, and comply with legal obligations.

You represent that you have the rights necessary to submit your content and grant this license.

Intellectual property

Trainety, including its design, interface, software, logos, trademarks, service names, features, and related materials, is owned by Qenovia LLC or its licensors, except for user content and third-party materials.

You may not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works from Trainety except as allowed by these terms or applicable law.

Using Trainety does not give you ownership of Trainety intellectual property.

Third-party services

Trainety may use third-party services for hosting, database, storage, authentication, payment processing, delivery services, monitoring, analytics, security, anti-abuse, and infrastructure.

Your use of Trainety may involve third-party services such as payment providers, authentication providers, storage providers, monitoring providers, or infrastructure providers. These services may have their own terms and privacy notices.

Trainety is not responsible for third-party services that it does not control, but it may use such services to operate and secure the platform.

Availability and changes

Trainety may change, suspend, limit, or discontinue features, pages, roles, pricing, packages, promotion rules, Signals rules, Priority Credits rules, or other parts of the service from time to time.

Trainety does not guarantee that the service will always be available, uninterrupted, secure, or error-free.

We may update features to improve performance, safety, compliance, abuse prevention, marketplace quality, or user experience.

Disclaimers

Trainety is provided on an "as is" and "as available" basis to the fullest extent permitted by applicable law.

Trainety does not guarantee that projects, Providers, Publishers, profiles, messages, files, payments, promotion results, search results, recommendations, or marketplace activity will meet your expectations.

Trainety does not guarantee the accuracy, completeness, legality, quality, reliability, availability, or suitability of user content or third-party content.

Trainety is not a party to contracts or agreements that Providers and Publishers may enter into outside Trainety unless Trainety expressly states otherwise in a separate written agreement.

Users are responsible for evaluating whether to communicate, contract, pay, hire, provide services, share information, or work with another user.

Limitation of liability

To the fullest extent permitted by applicable law, Trainety and Qenovia LLC will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, lost business opportunities, loss of goodwill, or business interruption arising from or related to your use of Trainety.

To the fullest extent permitted by applicable law, Trainety's total liability for any claim related to the service will be limited to the amount you paid to Trainety for the relevant service, unless a different limit is required by applicable law or stated in additional terms shown for a specific feature.

Indemnity

To the fullest extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Trainety, Qenovia LLC, and their officers, directors, employees, contractors, agents, service providers, and affiliates from claims, liabilities, damages, losses, and expenses arising from or related to:

• Your use of Trainety
• Your content, projects, profiles, messages, files, or submissions
• Your violation of these terms
• Your violation of applicable law
• Your violation of another person's or organization's rights
• Your transactions, disputes, or agreements with other users
• Your misuse of Signals, Priority Credits, promotions, payments, or platform features

Account closure and termination

You may request account closure through Account Settings where available.

Trainety may suspend, restrict, or terminate access to accounts, projects, messages, paid features, or other parts of the service if Trainety believes that a user has violated these terms, created risk, failed payment obligations, abused the service, or used Trainety in a way that may harm the platform, users, or third parties.

After account closure or termination, some information may be retained where necessary for legal, tax, accounting, billing, security, fraud prevention, audit logs, dispute handling, reports, moderation, chargebacks, or platform integrity.

Account closure may not automatically cancel every paid feature unless the product flow or applicable law provides otherwise. Users should review active subscriptions, payment settings, and project status before closing an account.

Governing law and disputes

If a dispute arises, users should first submit a request through Trainety's support flow so the issue can be reviewed. Nothing in these terms limits rights that cannot be limited under applicable law.

Additional governing law, venue, dispute resolution, or similar legal terms may apply if they are included in an updated version of these Terms of Service or in feature-specific terms shown by Trainety.

Changes to these terms

Trainety may update these Terms of Service from time to time. If we make material changes, we may provide notice through Trainety, account notifications, or other appropriate methods.

The updated terms will be effective when posted unless otherwise stated. Your continued use of Trainety after updated terms become effective means you accept the updated terms, subject to applicable law.

Contact requests

To submit a terms-related, legal, account, payment, privacy, or support request, use the appropriate in-platform form. Do not include passwords, payment card numbers, private keys, government identification, health information, or other highly sensitive information unless Trainety specifically asks for it through a secure flow.
